By accessing or using the Tacit Logistics platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including carriers, dispatchers, and drivers.

Tacit Logistics provides a comprehensive transportation management system that includes:

• Fleet and equipment management tools
• Load management and dispatch services
• Driver management and compliance tracking
• DOT and FMCSA compliance assistance
• Points of interest mapping for drivers
• Document management and storage
• Reporting and analytics tools

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

You must be at least 18 years old and legally able to enter into contracts to create an account.

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit harmful, offensive, or illegal content
• Interfere with or disrupt the Service
• Attempt to gain unauthorized access to systems
• Use the Service for fraudulent purposes
• Impersonate another person or entity
• Collect user information without consent

Subscription Tiers

• Carriers: Paid subscription required for full access to fleet management features
• Dispatchers: Free access to coordination and communication tools
• Drivers: Free access to load management and points of interest features

Payment Terms

• Subscription fees are billed monthly or annually
• All fees are non-refundable except as required by law
• We may change pricing with 30 days' notice
• Failure to pay may result in service suspension

The Service and its original content, features, and functionality are owned by Tacit Logistics, LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any content you submit to the Service, but grant us a license to use, modify, and display such content as necessary to provide the Service.

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

We comply with applicable data protection laws, including those related to transportation and logistics data required by DOT and FMCSA regulations.

Service Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY TEXAS LAW, TACIT LOGISTICS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA, OR USE, ARISING OUT OF YOUR USE OF THE SERVICE.

You agree to defend, indemnify, and hold harmless Tacit Logistics, its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service or violation of these Terms.

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, third parties, or our business interests.

You may terminate your account at any time by contacting us. Upon termination, your right to use the Service will cease immediately.

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.

Any disputes arising under these Terms shall be resolved through binding arbitration in Dallas County, Texas, in accordance with the Commercial Arbitration Rules of the American Arbitration Association.

You waive any right to participate in class action lawsuits or class-wide arbitrations against us.

We reserve the right to modify these Terms at any time. We will notify users of material changes by email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
